This Public Offer (hereinafter referred to as the "Offer") is addressed to any individual or legal entity (hereinafter referred to as the "Client") and constitutes an official proposal from
Nuria Production FZ-LLC, a podcast studio (hereinafter referred to as the "Studio"), to enter into a service agreement under the terms and conditions set forth below.
By accepting this Offer (including by booking, paying for, or using Studio services), the Client agrees to the following:
1. Subject of the Offer1.1. The Studio provides podcast-related services, including but not limited to:
- Rental of recording space and equipment;
- Audio and/or video recording;
- Editing and post-production;
- Consulting and content development;
- Podcast publishing and distribution support.
1.2. The specific scope and type of services are determined by the Client when placing an order via the Studio's website, messaging platforms, or in writing.
2. Booking, Setup, and Payment2.1. To confirm a booking, the Client must specify the
date, time, and provide a
clear technical setup brief for the recording session.
2.2. Once the setup has been confirmed by the Studio, any further changes requested by the Client
before or during the session will be considered part of the booked session time and will not extend the original booking period.
2.3. A
50% prepayment is required to confirm any booking. If not the Studio has the right to sell the time slot to another client who did the booking prepayment for the same time slot.
2.4. If the Client cancels the session
less than 24 hours before the scheduled time, the
50% prepayment is non-refundable.
3. Deliverables and Storage3.1.Raw materials (audio/video files) will be delivered within
24 hours after the recording session.
3.2. The Studio will store raw files on its drives for a period of
14 calendar days, after which the materials will be
permanently deleted, unless otherwise agreed in writing.
4. Editing and Revisions4.1. If the Client purchases
editing or post-production services, the Studio will deliver the
first draft of the final video/audio within
7 days after the recording.
4.2. The Client has
2 weeks (14 days) from the date of draft delivery to submit revision requests.
4.3. If revision requests are submitted
after this 14-day period, additional changes will be subject to an
extra charge of 300 AED per revision round.
5. Liability and Restrictions5.1. If the Client rents only the
studio space (with or without equipment) and conducts the recording independently, the Studio shall bear
no responsibility for the
quality or integrity of the recorded materials.
5.2. The Client is solely responsible for ensuring the legality of their content and for having all necessary rights to distribute it.
5.3.
It is strictly prohibited to produce or record at the Studio any content that:
- Violates the laws of the United Arab Emirates (UAE);
- Promotes or incites ethnic, national, or religious hatred;
- Damages the reputation or image of the UAE, its institutions, or leadership;
- Includes extremist, terrorist, or pornographic content, or any form of content classified as erotic or sexually explicit under UAE law.
5.4. The Studio reserves the right to terminate a session immediately and without refund if the above restrictions are violated, and may report such violations to relevant authorities if required by law.
6. Rights and Use6.1. All rights to the recorded content belong to the Client unless otherwise agreed in writing.
6.2.
By default, the Studio reserves the right to use fragments of the Client's recorded content (including visuals and audio)
for its own portfolio, marketing, and promotional campaigns, unless the Client explicitly informs the Studio in writing of their objection
prior to the start of the recording session.
6.3. The Studio will never sell or license Client content to third parties without written permission.
7. Studio Crew Responsibilities7.1. If the Studio provides an
operator for the session, the operator is responsible for:
- Setting up the studio according to the technical brief provided by the Client;
- Arranging lighting and camera angles;
- Connecting and configuring audio equipment;
- Ensuring high-quality recording of the podcast session.
7.2. However, the operator
does not perform the role of a producer on set and is
not responsible for:
- Giving the Client recommendations regarding their appearance, behavior, or speech in front of the camera;
- Monitoring or correcting the Client’s on-screen presence or performance;
- Managing the duration or structure of the session unless specifically requested in advance.
8. Final Provisions8.1. This Offer is valid indefinitely until revoked or amended by the Studio.
8.2. The Studio reserves the right to update this Offer at any time. The updated version becomes effective upon publication.
8.3. All disputes arising from this Offer shall be resolved through negotiation. If not resolved amicably, disputes shall be subject to applicable legal proceedings in the jurisdiction of the UAE.
By confirming a booking or using the Studio's services, the Client confirms full acceptance of this Public Offer and agrees to all terms stated herein.
